Terms of Service

1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you and KeyCAD (“KeyCAD”, “we”, “us”, or “our”) and govern your access to and use of the KeyCAD website, applications, and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and accounts
Access to KeyCAD is currently invitation-based. You must be at least 18 years old and able to form a binding contract. You are responsible for all activity under your account and for keeping your credentials secure. You agree to provide accurate information and to only submit content you are authorized to use.
3. Early access
KeyCAD is offered as an early-access service. Features may change, and we may modify, suspend, or discontinue any part of the Service at any time without liability to you.
4. Subscriptions and billing
Paid plans are billed on a recurring basis (monthly or annually) through our payment processor, Stripe, and renew automatically until cancelled. You may cancel at any time from your billing settings, and access continues through the end of the current paid period. Fees are non-refundable except where required by law. We may change pricing with reasonable notice.
5. Your content and the license you grant
You keep all rights to the CAD models, images, and other content you provide (“Your Content”). We do not claim ownership of Your Content, and we do not collect or retain your CAD files or project content beyond what is needed to generate the outputs you request. You grant us a limited, worldwide, royalty-free license to process, host, and display Your Content solely to operate and provide the Service to you. You represent that you have all rights necessary to submit Your Content and that it does not infringe the rights of others.
6. Our intellectual property
The Service, including our software, models, designs, branding, and all related intellectual property, is owned by KeyCAD and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service as permitted by these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Service, except to the extent this restriction is prohibited by law.
7. Acceptable use
You agree not to: (a) misuse, disrupt, or interfere with the Service; (b) attempt to gain unauthorized access to it; (c) reverse-engineer or scrape it; (d) use it to violate any law or infringe the rights of others; or (e) resell or provide the Service to third parties without our written permission.
8. Third-party services
The Service integrates third-party providers such as Clerk and Stripe. Your use of those services is also subject to their terms, and we are not responsible for them.
9. Disclaimers
The Service and all outputs are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. KeyCAD produces visual and creative outputs and is not a substitute for engineering, manufacturing, or professional judgment. You are responsible for reviewing and verifying any output before relying on it. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate.
10. Limitation of liability
To the maximum extent permitted by law, KeyCAD and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars ($100).
11. Indemnification
You agree to indemnify and hold harmless KeyCAD and its team from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or the rights of others.
12. Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably believe your use poses a risk to the Service or others. You may stop using the Service at any time. Sections that by their nature should survive termination (including licenses you have granted, disclaimers, limitations of liability, and indemnification) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Service will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
15. General
If any provision of these Terms is found unenforceable, the rest will remain in effect. These Terms are the entire agreement between you and KeyCAD regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it.
